Job description
The position is responsible for partnering with HQ, Group and Divisions to identify growth opportunities and lead/execute transactions supporting those growth opportunities. The Mergers & Acquisitions Director position will provide critical financial and non-financial analyses which enable leadership decision making in merger and acquisition strategy for China system. The role requires strong financial acumen, strategic vision, and relationship management skills.
Key Result Areas
# Collaborate with China BU to create a strategy and set of criteria to continuously evaluate value creation opportunities.
# Recommend whether or not to proceed with assessment of proposal based on risk(s) identified.
# Develop valuation based on research of value drivers, economic environment of country, non-alcoholic ready to drink operating environment in country, cost structure, pricing standards, future prospects, market information etc.
# Apply and analyze proposal against established or developing criteria to evaluate strategic fit.
# Prepare memorandum for management in order to communicate results of assessment and seek support of recommendation which can be either positive or negative.
# Negotiate contractual terms with external clients to ensure contract reflects economics approved by senior management.
# Lead negotiations and make transaction decisions according to prescribed parameters.
# Set parameters of due diligence plan (e.g., time frame, scope, deliverable) to ensure that plan meets established deadline.
# Review working drafts of Definitive Agreements and provide comments to Legal or coordinate same with outside counsel.
# Serve as a consultant and subject matter expert back to the organization (Functional area, client team, or global finance personnel) on significant matters in area of expertise.

Knowledge & Experience:
# Valuation Methodologies. Knowledge of the theories of valuation and the various methodologies involved. This includes knowledge of the technical and financial components of valuations and how to apply the appropriate valuation theory.
# Business Valuation. Knowledge of business valuation techniques. This includes knowledge of forecasted cash flows and appropriate discounting methodology, and due diligence.
# Value Criteria. Knowledge of Management's Value Criteria in order to make effective recommendations on proposals.
# Financial Transaction Policies. Knowledge of the Company's policies and procedures as they relate to transactions.
# Determining Financial Impact: Understanding the financial consequences of decisions; understanding economic value for the system; acting as an owner of the business and making decisions that ensure long-term value
# Structures. Knowledge of structures (e.g., joint ventures, strategic partnership, merger, buy/sell, license, right to co-exist, integration/implementation,
sale/leaseback) and their implications on value and transaction objectives.
# Negotiation: Exploring alternatives and positions to reach outcomes that gain all parties' support and acceptance; striving for outcomes that are a win-win for all parties involved.
Education & Professional Qualification:
# Master Degree or equivalent work experience.
Language Requirements:
# Proficient written, oral and interpersonal skills in English
# Proficient in both written and oral communication in Chinese (Mandarin)
Travel Requirements:
Travel up to 35% of work time
